Terms of Service

These terms govern your use of Rupto — our app, our website, and the settlement service that lets you pay UPI QR codes with stablecoins. Please read them before you open a wallet.

About these terms

Rupto is operated by Rupto Technologies Pvt Ltd ("Rupto", "we", "us"), a company based in Mumbai, India. These Terms of Service form a binding agreement between you and Rupto.

By creating an account or using the service, you accept these terms together with our Privacy Policy and Risk Disclosure. If you do not agree with any part of them, please do not use Rupto.

What Rupto does

Rupto is a peer-to-peer settlement marketplace. It lets you pay an Indian merchant in rupees over UPI while spending stablecoins (USDT) from your Rupto wallet.

When you make a payment, your USDT is held in on-chain escrow and a verified settlement partner pays the merchant in INR. The escrow releases to the partner only after the bank reference (UTR) is confirmed.

Rupto is not a bank, a stock exchange, or an investment platform. We do not offer returns, trading advice, or custody of investments. We provide software that connects you with independent settlement partners.

Eligibility and registration

By using Rupto, you confirm that:

  • you are at least 18 years old and legally able to enter into a contract;
  • you are a resident of India and are using Rupto from within India;
  • you are not barred from using such services under Indian law, and you do not appear on any applicable sanctions list;
  • you will open and use only one account, with accurate and current information.

We may decline registration, or limit an account, at our discretion or where the law requires.

Your account and wallet

Rupto provides you with a custodial wallet. We hold the wallet keys securely on your behalf, so you can transact without managing private keys yourself.

You are responsible for keeping your login credentials, one-time passwords (OTPs), and devices secure. Activity carried out through your account is treated as yours. Tell us immediately at contact@rupto.in if you suspect any unauthorised access.

Identity verification (KYC)

To meet our legal obligations, we verify the identity of our users. You agree to provide accurate identity information and documents when asked, and to keep them up to date.

We may pause, limit, or decline transactions while verification is pending or if it cannot be completed.

How a payment works

  • You scan a UPI QR code or enter a UPI ID, and enter the amount.
  • Rupto shows a quote — the rupee amount, the USDT amount, the rate, and the fee.
  • When you confirm, the rate is locked for 60 seconds and your USDT moves into escrow.
  • A settlement partner pays the merchant in INR. Once the bank UTR is verified, the escrow releases to the partner.

A payment cannot be reversed once the merchant has been paid. Check the payee and amount carefully before you confirm.

Fees

Rupto charges a flat platform fee of 0.8%, which is already included in the rate shown to you before you confirm. We will always display the fee up front.

Blockchain network fees for deposits and withdrawals are set by the relevant network and are borne by you.

Rates and quotes

The USDT/INR rate shown before confirmation is indicative and moves with the market. When you confirm a payment, the rate is locked for 60 seconds. If you do not confirm within that window, you will be shown a fresh quote.

Deposits and withdrawals

You can deposit USDT to your Rupto wallet on the networks we support — Tron (TRC-20), Ethereum (ERC-20), BNB Chain (BEP-20), and Solana. Withdrawals are sent to a blockchain address that you provide.

Always send the correct asset on the correct network, and check withdrawal addresses carefully. Funds sent to a wrong address or on an unsupported network may be permanently lost, and Rupto cannot recover them.

Acceptable use

You agree not to use Rupto to:

  • make or facilitate any unlawful payment, or to launder money or finance terrorism;
  • commit fraud, or transact for or on behalf of a sanctioned person;
  • carry out activity prohibited under Indian law, including unlicensed gambling;
  • disrupt, attack, reverse-engineer, or otherwise abuse the service or its infrastructure.

We may screen, delay, hold, or decline any transaction to comply with our legal and compliance obligations.

Suspension and termination

We may suspend or close an account that breaches these terms, presents a fraud or compliance risk, or where the law or a lawful order requires it.

You may close your account at any time once outstanding balances and transactions are settled. We retain certain records after closure as the law requires — see our Privacy Policy.

Service availability

We work to keep Rupto available and reliable, but we do not guarantee that it will be uninterrupted or error-free. Blockchain networks, banking systems, and settlement partners are outside our full control, and settlement times can vary.

Disclaimers and limitation of liability

The service is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim implied warranties. Crypto-assets are volatile and are not legal tender in India — please read the Risk Disclosure.

To the maximum extent permitted by law, Rupto is not liable for indirect, incidental, or consequential loss; for loss caused by price volatility; for loss caused by your own errors (such as a wrong address, UPI ID, or amount); or for events beyond our reasonable control. Where our liability cannot be excluded, it is limited to the platform fees you paid us on the affected transaction.

Indemnity

You agree to indemnify and hold Rupto harmless against claims, losses, and costs arising from your misuse of the service or your breach of these terms or of applicable law.

Changes to these terms

We may update these terms from time to time. We will post the current version here and, for material changes, notify you in the app or by email. Continuing to use Rupto after an update means you accept the revised terms.

Governing law, disputes, and contact

These terms are governed by the laws of India. The courts at Mumbai, Maharashtra have jurisdiction, and disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai.
